Agreement
These Terms of Service (“Terms”) govern access to and use of ShipShark’s websites, APIs, checkout overlay, plugins, and related services (the “Service”). By creating a merchant account, installing our bridge, or otherwise using the Service, you agree to these Terms.
The Service
ShipShark helps merchants offer phone-first checkout, address prefill, COD risk controls, and payment orchestration through the merchant’s own payment gateway. We do not hold customer funds and are not a bank, wallet, or payment acquirer.
Accounts and keys
- You must provide accurate merchant information and keep credentials confidential.
- You are responsible for all activity under your publishable key, secret, and bridge secret.
- Notify us promptly if you suspect unauthorised access.
- We may suspend or revoke keys that are leaked, abused, or used outside agreed platforms.
Merchant responsibilities
- Comply with applicable law, including consumer, tax, and data-protection rules in India and any other markets you sell into.
- Publish clear store policies (shipping, returns, COD) to your buyers.
- Configure payment gateways, webhooks, and store bridges correctly.
- Obtain any consents required for OTP, SMS, and processing of buyer data.
- Not use the Service for illegal goods, fraud, or prohibited categories.
- Comply with your store platform’s merchant and partner policies (including WooCommerce and Shopify).
Shopify off-platform checkout (Mode A)
If you connect a Shopify store, ShipShark may run checkout outside Shopify Checkout and push orders into Shopify as draft orders through a custom/unlisted app (“Mode A”). This path is offered so merchants can use ShipShark’s checkout UI and their own payment gateway.
Shopify merchant policies (including restrictions related to checkout customisation and circumventing Shopify Checkout) may limit or prohibit parts of this flow. Mode A is not App Store–listable and is installed only as a custom/unlisted app that you (or your partner) approve. Shopify may change enforcement at any time.
By accepting these Terms and connecting Shopify, you acknowledge that you are installing that custom/unlisted app knowingly; that ShipShark has not represented Mode A will remain permitted, fee-advantaged, or App Store listable; and that you accept the platform-policy and continuity risk of using off-platform checkout and draft orders. An App Store–safe path (Mode B) may be offered later and is not guaranteed by these Terms.
Payments and orders
Online payments settle between the buyer, your payment provider, and you. COD remains a contract between you and the buyer. ShipShark may recommend allow, fee, verify, or block decisions based on logistics signals; final commercial risk for fulfilment and RTO sits with the merchant unless a separate written agreement says otherwise.
Acceptable use
You may not reverse engineer the Service except as allowed by law, probe or attack our systems, scrape without permission, resell the Service without our consent, or interfere with other merchants or buyers.
Intellectual property
ShipShark and its licensors own the Service, branding, and software. You receive a limited, non-exclusive licence to use the Service for your own stores while your account is in good standing. You retain rights to your store content and buyer data you provide.
Availability
We aim for reliable uptime and publish a status page for payment gateway reachability where available. The Service is provided “as is” without warranties of uninterrupted or error-free operation.
Fees
Platform fees are listed on the pricing page and are billed monthly in INR. Plans do not include a percentage of Gross Merchandise Value or COD order value. Payment aggregator or payment gateway merchant discount rates are charged by your payment provider, not by ShipShark. Enterprise pricing may be agreed in writing. We may change list prices with notice as described under Changes.
Limitation of liability
To the maximum extent permitted by law, ShipShark is not liable for indirect, incidental, special, consequential, or lost-profit damages, or for chargebacks, RTO, courier failures, or gateway outages. Our aggregate liability arising from the Service is limited to fees you paid us for the Service in the three months before the claim (or ₹10,000 if no fees were paid).
Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, non-payment, or legal reasons. Provisions that by nature should survive (including IP, liability limits, and confidentiality) continue after termination.
Changes
We may update these Terms by posting a revised version with a new “Last updated” date. Material changes may also be communicated to the email on your merchant account. Continued use after the effective date constitutes acceptance.
Governing law
These Terms are governed by the laws of India. Courts in India have exclusive jurisdiction, subject to any mandatory consumer protections that apply.
